Message from the Chairperson
Reviewing 2025, the world stood at a critical juncture marked by heightened volatility and intertwined risks. Geopolitical developments continued to shape energy policies, industrial investment, and the global trade order, while global supply chains accelerated their restructuring in response to rising demands for security and resilience. According to the latest Global Risks Report published by the World Economic Forum (WEF), extreme weather events have ranked as the top long-term risk over a 10-year horizon for three consecutive years, underscoring the need for companies to embed climate action and sustainable governance into their core business thinking. The year 2025 also marked a pivotal stage in global sustainability governance, as commitments increasingly moved toward implementation. With the Carbon Border Adjustment Mechanism (CBAM) being progressively deepened, IFRS Sustainability Disclosure Standards becoming an important basis for capital market disclosure, and countries continuing to strengthen policies on energy transition and climate adaptation, it is clear that companies must respond to climate risks and transition pressures through actionable and measurable initiatives.
Against this backdrop, the semiconductor industry faces challenges that extend beyond market cycles. These include the responsibility to reduce carbon emissions in manufacturing processes, access to renewable energy, differences in regulations across regions, and heightened customer expectations for supply chain resilience and transparency. A company’s global footprint is no longer merely a matter of cost and efficiency; it must also take into account energy structure, carbon emissions management, talent deployment, and long-term risk considerations.
GlobalWafers has established a presence across Asia, Europe, and the Americas, with 18 manufacturing and operating sites in nine countries, enabling the Company to serve customers across all three continents in close proximity. Having long operated under diverse institutional frameworks and energy conditions, we also echo the core spirit of “action and implementation” advanced by the 30th Conference of the Parties to the United Nations Framework Convention on Climate Change (COP30). We systematically integrate energy transition, greenhouse gas reduction, and climate risk management into our operational decision-making. Through continued efforts to advance green manufacturing, expand the use of renewable energy, strengthen technological competitiveness, and deepen value chain collaboration, we aim to reduce operational impacts and enhance overall resilience.
We believe that in a highly uncertain environment, sustainability is key to building trust, strengthening resilience, and creating long-term value. Guided by our philosophy of “Responsible Growth,” GlobalWafers deeply integrates sustainability thinking into its decision-making processes and daily operations, creating genuine and lasting value for customers, employees, shareholders, and society. Accordingly, we embed sustainability into our core corporate strategy, spanning corporate governance, environmental sustainability, a friendly workplace, and social engagement, as we work to build a more resilient future for the company, society, and the next generation.
Our sustainability vision, sustainable development strategies, and corresponding actions are outlined below:
✤ GlobalWafers’ Sustainability Vision ✤
GlobalWafers is committed to providing high-quality semiconductor wafer materials to meet customer needs. Guided by the principles of peopleorientation, integrity, passion, excellence, and innovation, the Company actively practices sustainable development, pursuing operational performance while taking into account the rights and interests of stakeholders. In consideration of international sustainability trends and their relevance to the Company’s core business, GlobalWafers incorporates environmental, social, and corporate governance factors into its corporate systems, management policies, and operational plans, with the aim of achieving responsible growth and creating sustainable value for society.
✤ GlobalWafers’ Sustainable Development Strategy ✤
I. Implementing Corporate Governance
Integrity is at the core of GlobalWafers’ corporate values. The Company upholds the rule of law, places strong emphasis on ethical conduct, and has established an effective corporate governance framework to strengthen sound governance practices. We actively balance the rights and interests of all stakeholders, ensure comprehensive disclosure of sustainability information, and fulfill our responsibilities as a corporate citizen.
§ Deepening Board-Level Sustainability Governance:
In response to evolving trends in corporate governance and sustainable development, GlobalWafers has continued to strengthen the Board’s oversight role in sustainability-related matters. In 2025, the Company adjusted the structure of the Board’s functional committees by renaming the former “Nomination Committee” as the “Nomination and Sustainability Committee” and incorporating sustainability-related matters into its scope of responsibilities. The Committee is responsible for overseeing the Company’s sustainable development strategies, as well as the planning and implementation of initiatives across environmental, social, and corporate governance dimensions. More than half of the members of the Nomination and Sustainability Committee are independent directors. By strengthening the professional participation of independent directors and enhancing the oversight mechanism, the Committee assists the Board in reviewing sustainability-related risks and opportunities from an overall business perspective. This ensures that, as the Company advances its global footprint and strategic initiatives, it continues to uphold responsible governance while supporting long-term operational development.
§ Strengthening Information Transparency and Governance Trust:
Built on a foundation of integrity, GlobalWafers regards transparent information disclosure as an important cornerstone of sound corporate governance and stakeholder trust. We continue to enhance the management and disclosure of sustainability information in response to international sustainability trends and stakeholder expectations. In 2024, the Company established an internal control system for sustainability information management and simultaneously formulated an implementation plan for adopting the IFRS Sustainability Disclosure Standards. In 2025, GlobalWafers advanced the relevant work in accordance with the planned schedule and reported implementation progress to the Board of Directors on a regular basis, further strengthening its sustainability governance framework and the quality of internal controls. To ensure the effective implementation of its sustainability strategy, GlobalWafers also links executive compensation to sustainability performance indicators, formally embedding its sustainability commitments into management accountability. GlobalWafers has been ranked among the top 5% of TPEx-listed companies in the Corporate Governance Evaluation jointly conducted by the Taiwan Stock Exchange and the Taipei Exchange for eight consecutive years, demonstrating continued recognition of the Company’s governance performance.
II. Promoting Environmental Sustainability
GlobalWafers has made a green commitment to address the challenges of climate change. In compliance with environmental regulations and international standards, the Company is committed to improving energy efficiency, adopting renewable energy, supporting carbon removal initiatives, using recycled materials with lower environmental impact, implementing circular economy practices, building a green supply chain, and carrying out waste reduction and pollution prevention measures, in order to achieve GlobalWafers’ environmental sustainability goals.
§ Advancing the Timeline for RE100 Targets:
To deepen its transition to renewable energy, GlobalWafers voluntarily announced in 2021 its goal of achieving 100% renewable energy use by 2050, and formally joined the RE100 initiative in 2022. As climate risks and industry transition pressures have become increasingly evident, GlobalWafers has proactively advanced its RE100 target timeline by ten years to 2040, while also raising its interim milestones. The Group’s renewable energy usage targets have been revised to 35% by 2030, 55% by 2035, and 100% renewable energy use across the Group by 2040.
§ Advancing Toward Net-Zero Emissions by 2050 in Line with the Science Based Targets initiative (SBTi):
In terms of greenhouse gas reduction, GlobalWafers remains committed to its philosophy of “Responsible Growth” and actively responds to climate change. In 2025, GlobalWafers officially submitted its carbon reduction commitment to the Science Based Targets initiative (SBTi). In April 2026, the Company’s targets were validated by the SBTi, confirming that its decarbonization pathway is aligned with the Paris Agreement’s goal of limiting global warming to 1.5℃. GlobalWafers will continue to pursue its SBTi-validated sciencebased targets and advance greenhouse gas reduction initiatives covering Scope 1, Scope 2, and Scope 3, with the long-term goal of achieving netzero emissions across its entire value chain by 2050. Through concrete and measurable decarbonization pathways, GlobalWafers will continue to strengthen operational resilience and work together with customers and supply chain partners toward a net-zero and sustainable future.
III. Building a Friendly Workplace
Employees are GlobalWafers’ most valued partners. Guided by a peopleoriented philosophy, GlobalWafers complies with international human rights conventions and relevant regulations, and is committed to creating a diverse, equitable, safe, and dignified work environment for all employees. We place strong emphasis on talent development, provide effective training programs to support employees’ career growth, and maintain open and accessible channels for employee communication and dialogue.
§ Fostering a Healthy Workplace Culture:
GlobalWafers regards health management as an important foundation of a friendly workplace, and integrates health promotion into the everyday work environment through practical initiatives across its operating sites. At GlobalWafers’ Taiwan sites, the Health Center launched the “2025 Health Journey” campaign, centered on a daily goal of 7,000 steps and complemented by nutrition tasks, health seminars, and physical fitness assessments. Through this initiative, the Company supports employees in developing sustainable healthy habits. GlobalWafers has also received the Excellence Award for Promoting Workplace Equality from the Hsinchu Science Park Bureau for three consecutive years.
§ Safeguarding Women’s Health and Family Needs:
With employee well-being at its core, GlobalWafers incorporates women’s health and family support as important dimensions of a friendly workplace. From preventive medicine to workplace design, the Company supports employees in working and living with peace of mind through different stages of life. GlobalWafers implements maternity protection measures, providing pregnancy health assessments, dedicated parking spaces for pregnant employees, well-equipped breastfeeding and breast milk collection rooms, and related health education resources. The Company also conducts women’s health screenings at its sites, offering screenings and health consultations for breast cancer, ovarian cancer, and cervical cancer, helping reduce barriers to medical care while strengthening employees’ awareness of health management.
IV. Supporting Social Good
GlobalWafers actively engages with local communities, cares for disadvantaged groups in remote areas, and encourages Group companies and employees to take part in concrete actions that support social care and environmental conservation. By leveraging its professional expertise and influence, GlobalWafers responds to the United Nations Sustainable Development Goals and works to realize its vision of shared prosperity for society.
§ Supporting the Charitable Screening Program of Taiwan
Unsung Hero:
In 2025, GlobalWafers partnered with the Association of Formosa 3D and the Taiwan Renaissance Platform to promote the charitable screening program of the documentary Taiwan Unsung Hero. The initiative reached 12 schools across Yilan, Hsinchu, and Miaoli, where a mobile cinema truck accompanied more than a thousand students, teachers, and school staff through film screenings and meaningful exchanges. By incorporating mobile solar energy and environmental education, the program enabled children to learn about real-life stories while also gaining a deeper understanding of the importance of sustainability.
§ Supporting the Pioneer Seedling Program:
GlobalWafers partnered with IC Broadcasting, IShare Community Development Association, and Hsuan Chuang University to co-organize the “Pioneer Seedling Program – Charity Science Camp,” inviting nearly 60 students from Wufeng and Jianshi in Hsinchu to take part. Through hands-on courses in AI, AR, and renewable energy, the camp guided children to experience science and energy conservation concepts in an engaging way, helping cultivate their interest in technology and learning.
§ Expanding Social Impact Across Global Operating Sites:
GlobalWafers’ operating sites around the world continue to engage in local charitable initiatives and environmental actions. The Korea site participated in river cleanup activities, Japan supported community football development, Malaysia organized blood donation events, Italy promoted marine waste recycling and ecological conservation, and the United States arranged campus visits and exchanges. Through these community-centered actions, GlobalWafers brings care into its everyday operations.
Looking ahead, GlobalWafers will continue to navigate an industry environment marked by heightened volatility and uncertainty. Yet, our long-standing operating experience across different regions and institutional frameworks has given us a deep understanding that corporate competitiveness comes from the ability to make prudent and responsible judgments amid complexity. For GlobalWafers, a global footprint not only responds to market needs, but also supports supply stability, reduces operational risks, and incorporates energy use, carbon emissions management, and operational resilience into long-term planning. Building on our existing operational foundation, we will continue to assess our growth path from a broader perspective, ensuring that every step of our corporate growth can withstand the test of time, the environment, and society. Sustainability is not a straight path, but a journey that requires patience and self-reflection. GlobalWafers will continue to move forward with steady and pragmatic steps, working together with customers, employees, and stakeholders to build trust, strengthen resilience, and create sustainable long-term value for the industry and society in a changing world.
