Hsinchu, Taiwan —GlobalWafers Co., Ltd. (6488.TWO) (“GlobalWafers”) today announces that it has received unconditional regulatory approvals regarding its all-cash tender offer for the outstanding ordinary shares of Siltronic AG (“Siltronic”).
On March 8, 2021, the Austrian Federal Competition Authority unconditionally approved the transaction after a Phase I review. On February 9, 2021, the German Federal Cartel Office had already indicated that it would not raise any antitrust objections to the intended acquisition of Siltronic by GlobalWafers, and also unconditionally cleared the deal in Phase I.
On March 3, 2021, the Committee on Foreign Investment in the United States (“CFIUS”) concluded its review of the planned acquisition of Siltronic and also cleared the transaction unconditionally.
The company continues to expect the closing of the transaction in the second half of 2021. The closing of the offer remains subject to receipt of further regulatory approvals.
