“Integrity and ethical conduct” are GlobalWafers’ most important core value. To implement this principle, we have established key internal regulations, including the Ethical Corporate Management Best Practice Principles, the Codes of Ethical Conduct, and the Procedures for Ethical Management and Guidelines for Conduct. These best practices are publicly available on GlobalWafers’ website for employees to access, helping strengthen legal compliance and ethical conduct.
GlobalWafers strictly adheres to the “anti-bribery and anti-corruption ” principle. In 2024, we established guidelines regarding the giving and accepting of gifts. Under the updated rules, gifts given or received for legitimate business purposes and in accordance with local customs must not exceed NT$800 per instance, with a maximum annual total of NT$2,000 received from the same employee from accepting any gifts of any value from business partners and/or contacts.
As part of our commitment to integrity, GlobalWafers revised its whistleblowing mechanism in 2025 by upgrading the reporting system to provide a secure and anonymous channel and ensuring that whistleblowers are protected from any improper treatment. All cases are assigned by the Legal Department, with simultaneous notifications sent to independent directors. The entire process is handled with strict confidentiality, and all personnel involved must avoid any conflicts of interest. GlobalWafers actively encourage employees to speak up against misconduct—serving as the final safeguard in upholding our culture of integrity.
In addition, GlobalWafers takes proactive measures to prevent risks by requiring directors, managers, and new employees to participate in Business Integrity Training conducted by our dedicated compliance team during onboarding. This training clearly communicates the right ethical practices and raises awareness of legal compliance, with the goal of minimizing risks associated with unethical behavior. Through a rigorous management mechanism, we are committed to fully implementing ethical business practices, thereby creating long-term value for our customers, shareholders, and stakeholders. In addition, GlobalWafers conducts annual training based on the RBA Labor and Ethical Conduct Code to communicate the company’s commitment to “anti-bribery and anti-corruption” principles to all employees. Through continuous education and awareness programs, GlobalWafers’ employees maintain a high level of awareness and integrity in preventing and avoiding corrupt practices.
Beyond internal risk control measures, GlobalWafers also expects its value chain partners to uphold the highest standards of integrity. Through its “Supplier Code of Conduct and Supplier’s Declaration ” and “Customer Code of Conduct”, the company communicates its firm stance on anti-bribery and anti-corruption to all business partners. GlobalWafers strictly prohibits suppliers and customers from offering or accepting bribes under any circumstances to influence business decisions. In 2024, GlobalWafers held the “GlobalWafers Supplier Day,” during which the company’s legal counsel conducted anti-bribery and anti-corruption training for suppliers. The company also continues to monitor suppliers’ compliance through supplier audits, reinforcing ethical business conduct across the supply chain.
Based on these ongoing efforts, GlobalWafers has been included in the FTSE4Good Index Series for four consecutive years. In 2025, we further received top scores in corporate governance and anti-corruption, once again earning international recognition for our outstanding performance in sustainable development.
